ARTICLE I: CHARTER STATEMENT
The Penn Valley Lacrosse League (PVLL) is dedicated to the promotion of the sport of lacrosse in Eastern Pennsylvania. The PVLL shall provide the means whereby boys can compete under safe, controlled conditions and establish friendships through these competitions. Additionally, the PVLL shall promote the adoption of lacrosse into its Member Team school varsity programs; shall serve as an advisor to the other amateur and youth leagues in the area; and shall provide assistance to these leagues for further development of their programs, whenever possible.
ARTICLE II: LEAGUE STRUCTURE
The PVLL shall be structured as an independent umbrella organization comprised of Member Clubs located in the Delaware Valley area. Member Clubs shall send Club Representatives to the PVLL from or through which the Executive Board shall be nominated and elected. The PVLL shall bear all responsibility for financial accounting, scheduling, tournaments, jamborees, promotions, outreach programs, Member Club expansion and local and national representation. The PVLL shall collect Annual Dues to cover the cost of providing the aforementioned services and these Annual Dues shall be reassessed annually to determine adequacy. Member Clubs of the PVLL shall participate in one division, where all member clubs shall compete with one another at the same level. Each year, the PVLL will evaluate the composition of the league and decide if realignment of league is appropriate prior to November 1 of scheduling year.
ARTICLE III: OFFICERS
Executive Board
The Executive Board of the PVLL shall consist of the President, the Vice President, the Treasurer, the Secretary and . It shall be the duty of the Executive Board to oversee the month to month operations of the PVLL and to govern the PVLL in a manner consistent with the PVLL Charter Statement. Executive Board members may be the Voting Members from the teams each may represent.
Elections
All Officers of the Executive Board shall be elected for one (1) year terms. The election shall take place as part of the last regular meeting of the “academic” year. Officers shall be elected by the voting membership. Any Officer may be removed from office by a two-thirds (2/3) vote of the Voting Members.
Duties of the President
It shall be the duty of the President to schedule and preside at all regular and special meetings of the PVLL; to nominate all non-executive board committees and coordinators, including the Promotions Coordinator, the Youth Programs Coordinator and the Tournament Coordinators; to see that all rules and regulations of the PVLL are executed; to monitor and authorize payments of all PVLL bills and debts; to act as liaison between the PVLL and other lacrosse associations nationwide; and to perform all other duties that pertain to this office and the general supervision of the PVLL.
Duties of the Vice President
It shall be the duty of the Vice President to assist the President in any manner necessary to operate the PVLL; to act on behalf of the President at all meetings and PVLL events if the President is absent; and to succeed to the Presidency on the resignation, removal or death of the President only until the next meeting, regular or special, of the PVLL at which time an election shall be held.
Duties of the Treasurer
It shall be the duty of the Treasurer to receive and be responsible for all funds for the PVLL and shall credit the same to the account of the PVLL; to pay all bills of the PVLL on the approval of the President; to keep accurate and truthful account of all moneys received, paid out and held for the account of the PVLL; track and verify member club rosters, insurance forms and Letters of Intent; and to report, with respect thereto, at regular PVLL meetings and to the President and the Executive Board.
Duties of the Secretary
It shall be the duty of the Secretary to keep a record of all minutes of meetings of the PVLL and of the Executive Board; to circulate all requisite notices and notifications, including but not limited to, meeting agendas, meeting minutes, and event notices; to assist any other Officer with any task; and to coordinate and monitor team colors for all Member Clubs.
Chain of Command
The chain of command for Executive Board Officers shall originate from the President and go to the Vice President to the Treasurer and finally, to the Secretary.
ARTICLE IV: BOARD OF CLUB REPRESENTATIVES
The duty of the Board of Club Representatives shall be to oversee the governance of the PVLL by the Executive Board. Each Member Club shall appoint one representative of their organization to serve on the Board of Club Representatives. At least one Officer of the Executive Board must be notified either in writing or verbally as to the identity of the team representative or any changes in team representation at least one day prior to a league meeting. An alternate representative may represent a team at a league meeting without prior notice, but in the event of a conflict the previously recognized representative will be considered the official representative. The alternate representative must be a member of the club which they are representing. Club Representatives are considered Voting Members.
ARTICLE V: MEETINGS AND PROTOCOL
There shall be at least four regular meetings in the off-season and at least one regular meeting per month during the administrative season months of January through May. Regular meetings shall be held on the second Monday of the month. Additional meetings can be held at the request of the Executive Board. Special meetings may be held at the request of the President or may be called by the Secretary upon request of one-half of the active Member Clubs. Each Officer of the Executive Board shall have one vote in any PVLL matter, but a PVLL Officer may not vote as Club Representative and vote as a PVLL Officer if a Club Representative is absent. Each Club Representative has one vote in any PVLL matter. At all business meetings, at least one half of all Voting Members must be present to constitute a voting quorum. All decisions (except as noted) require a simple majority vote of the Voting Members present to be carried. In the event of a tie, the President can cast an additional vote to decide the issue.
ARTICLE VI: COORDINATORS AND COMMITTEES
The President with approval of the Executive Board shall have the authority to appoint or remove Coordinators to the following positions: the PVLL Tournament, PVLL Promotions, Youth Programs and Development. Additional positions may be created by approval of the Executive Board. Any position may be organized, by direction of the Executive Board, either as a committee or as a individually responsible coordinator.
ARTICLE VII: DISCIPLINARY ACTION
The PVLL shall have the power to suspend from PVLL competition or activities, either on a temporary or permanent basis, any member club, player, coach, manager, Club Representative, referee, PVLL Officer or any other persons connected with Member Clubs who violate the PVLL Constitution or By-Laws or conduct themselves in a manner contrary to the Charter Statement of the Constitution of the PVLL. Actions considered detrimental include: any violation of PVLL rules; intention to cause injury; physical threats or actions against an official or coach; less than acceptable behavior in off-field PVLL related events and activities; and fighting. A two-thirds (2/3) vote of the Voting Members is required to enforce any form of suspension. Disciplinary jurisdiction and procedures shall be as enumerated in the PVLL By-Laws.
ARTICLE VIII: AMENDMENTS TO THE CONSTITUTION
The PVLL Constitution and By-Laws shall be revised every five years to provide current and applicable guidance to the PVLL. The PVLL Constitution may be amended by a two-thirds (2/3) vote of the Voting Members at any regular meeting provided that notice of the proposed amendment has been sent to Voting Members at least two weeks prior to the same regular meeting. The PVLL By-Laws can be added to or revised by a two-thirds (2/3) vote of the Voting Members at any regular meeting provided that notice of the proposed amendment has been sent to the Voting Members at least two weeks prior to the same regular meeting.
